These Terms of Use (“Terms”) govern your access to and use of the Qiip Safe websites, landing pages, and investor materials (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site.

1. Who we are

Qiip Safe (“Qiip Safe”, “we”, “us”, or “our”) is a company focused on human-in-the-loop campus safety solutions for K–12 and related markets. The Site is intended to provide general information about Qiip Safe, our product vision, and related investor materials.

2. Eligibility & permitted use

You may use the Site only if you are at least 18 years old and able to enter into a legally binding agreement. You agree to use the Site only for lawful purposes and in accordance with these Terms.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal, internal business, or evaluation purposes. We reserve all rights not expressly granted in these Terms.

7. Prohibited conduct

• Attempt to gain unauthorized access to any systems, data, or networks associated with Qiip Safe

8. Confidentiality & data room access

If we provide you with access to non-public materials (such as a data room, detailed financial model, or IP filings), you agree to treat such materials as confidential and to use them solely for the purpose of evaluating a potential relationship or transaction with Qiip Safe. You must not share these materials with any third party except with your professional advisors who are bound by confidentiality obligations.

To the fullest extent permitted by law, Qiip Safe and its officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, revenues, data, or goodwill, arising out of or related to your use of or inability to use the Site, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for any claims arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US$100).

You agree to indemnify, defend, and hold harmless Qiip Safe and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Site or your violation of these Terms.

The Site may contain links to third-party websites or services that we do not control. We are not responsible for the content, policies, or practices of any third-party sites or services, and the inclusion of a link does not imply endorsement. Your use of third-party sites is at your own risk.

When we make material changes, we will update the “Last updated” date at the top of this page and may provide additional notice. 15. Governing law and jurisdiction

These Terms and any dispute arising out of or relating to them or the Site will be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles. You agree that the exclusive venue for any legal action or proceeding relating to these Terms or the Site will be the state or federal courts located in Salt Lake County, Utah, and you consent to the personal jurisdiction of such courts.

16. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason or no reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Site will immediately cease.

17. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Qiip Safe regarding your use of the Site, and supersede any prior or contemporaneous understandings or agreements related to such subject matter. Any specific investment or commercial agreements we enter into with you will supplement or supersede these Terms where they conflict.
